Crowdstack Pay allows sites to
offer premium features and/or content to their members for a fee. This
agreement ("Agreement") governs your use of Crowdstack Pay as provided by Crowdstack, Inc. and its related entities, including Social Strata, Inc. ("Crowdstack", "we", "us").
You agree to the terms and conditions listed below.
In order to use Crowdstack Pay, you must have an active site in good standing. It is recommended that you also have a
PayPal
account; by default we will pay you via PayPal.
Premium Membership Plans
Each site may have no more than one premium membership plan. You control which features you
would like to reserve for the plan. You may also designate specific content as "premium"
only, which means that only premium members may access such content.
You also control the fee to charge for your premium membership plan. However, your fees must meet
our minimum requirements. You may choose only one term (monthly, quarterly, or annual payments). You also may not use coupons to circumvent these minimums.
You are obligated to offer specific benefits to your premium members (features or content
available only to premium members). If you fail to do so or remove promised features, you
are in violation of this Agreement and subject to immediate cancellation of Crowdstack Pay for your site,
as well as a penalty. The penalty may range from complete forfeiture of the current
balance due you up to the total amount ever collected by you via Crowdstack Pay, at our complete
discretion.
In addition, if your cancellation results in requests for refunds by subscribers, you will be liable for making those refund payments to subscribers and we shall
have no obligation to pay any portion of such refunds.
Transaction Processing
We handle all transaction processing, and we are responsible for credit card processing
fees. In addition, all credit card refunds and credits are handled only by Crowdstack. Any required state/local taxes will also be collected at the time of purchase, based on tax laws in place at the time. All premium membership plans default to automatic renewal (meaning that users will need to
opt out to discontinue the premium membership). You will have access to general reporting
information regarding your Crowdstack Pay transactions via your site control panel. You will
have no access to credit card data from any of your members, however.
You are prohibited from stating or implying that you have any role in the processing of Crowdstack Pay transactions or that your site has any affiliation with Crowdstack Pay.
Membership Processing
When a user purchases a premium membership on your site, we will automatically and instantly
grant the user access to the premium membership that you have designed. Likewise, once
the user has ceased paying for the premium membership (or it expires), we will
automatically remove the user from the premium membership plan.
All orders are subject to our approval. We may reject any order or any reason, without
consulting you. We reserve the right to cancel and/or refund any premium membership for a subscriber on your site.
Fees
There are no setup fees to get started with Crowdstack Pay. We will charge a fee based on total amount of revenue collected. This fee is specified in your administrative control panel.
Disbursements To You
Payments to you will be disbursed within 30 days of the end of each month, based on the available balance
at the end of the previous month. This balance will reflect both purchases and refunds,
chargebacks, and cancellations. In addition, we will charge a fee of $35 for each chargeback that is applied to your account.
You may choose to be paid via either PayPal or check; all
payments will be made in U.S. dollars. Check disbursements will incur an additional fee
of $5.00 each.
It is your responsibility to keep your contact
and disbursement information current, so that we may pay you promptly and contact you
successfully when the need arises. If we are unable to send you your disbursement because you have not provided valid disbursement information, we will attempt to contact you.
After 180 days, if your disbursement is still unclaimed, your funds will be subject to applicable state laws regarding unclaimed property.
Cancellations and Refunds
You may cancel a member's premium membership on your site (and even issue refunds if you like) via your site Control Panel.
Navigate to: Manage > Settings > Premium Memberships.
Then click on the "Members" tab and you will see a list of current premium memberships.
You may then click on the "delete" icon to cancel the premium membership for a specific premium member.
You may either cancel the auto-renewal, which will not generate a refund, or terminate the premium membership, which will generate an automatic pro-rata refund for the member.
Note that we charge a Refund Fee of $7.50 for each refund processed. The refund fee is assessed to you, not the premium member.
We also reserve the right to cancel and/or refund any premium membership for a subscriber on your
site. The Refund Fee referenced above will apply for refunds initiated by us, as well.
We may disable or suspend premium memberships entirely for your site, at our complete discretion.
If you terminate your site or it is terminated by us (for non payment or any other reason), Crowdstack Pay services are considered canceled immediately, as well.
However, you may retain your site and cancel Crowdstack Pay services separately.
You may cancel Crowdstack Pay at any time, with written notice. To do so, please contact us via

Disputes and Venue
In the event that you have a dispute with a subscriber, you release Crowdstack and its subsidiaries/related entities,
affiliates, officers, agents, employees, partners, related entities, and licensors from any and all claims of every kind arising out of such dispute.
This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles. Participants irrevocably consent to the nonexclusive jurisdiction and venue of the state and federal courts located in the State of Wyoming.
